Terms of Service

These Terms of Service govern your access to and use of the GeoQR marketing site, applications, hosted tools, QR management features, custom domain features, analytics, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes both you and that entity. If a separate order form, checkout confirmation, or other signed agreement applies, that document controls to the extent of any conflict.

1. Eligibility and Accounts

You must be legally capable of entering into a binding contract to use the Service. You are responsible for providing accurate account information, keeping login credentials secure, and promptly notifying us at info@geoqr.io if you suspect unauthorized access or a security incident affecting your account.

Account access may be tied to an organization or workspace. Organization owners and admins are responsible for managing members, permissions, and billing access inside their workspace.

2. The Service

GeoQR is a hosted software service for creating and managing dynamic QR codes, redirect destinations, region-based routing rules, branded domains, media, and scan analytics. We may modify, improve, replace, or discontinue parts of the Service from time to time.

Some features depend on third-party providers, including payment processors, email providers, DNS providers, hosting infrastructure, and certificate or domain services. Availability of those dependencies can affect the Service.

3. Acceptable Use

You may not use the Service to:

  • violate any applicable law, regulation, or third-party right;
  • create or distribute malware, phishing pages, deceptive redirects, or other harmful content;
  • promote illegal goods or services, exploitative content, or material that is fraudulent, infringing, defamatory, or abusive;
  • interfere with the integrity, security, or operation of the Service or circumvent usage limits, access controls, or technical restrictions;
  • probe, scan, reverse engineer, or attempt to extract source code, underlying models, security mechanisms, or non-public data except to the extent that restriction is prohibited by law;
  • use the Service for emergency, life-critical, or other high-risk use cases where delays, downtime, or routing errors could cause serious harm.

We may investigate suspected misuse, remove content, disable redirects, or suspend access where reasonably necessary to protect users, third parties, or the Service.

4. Your Content and Destinations

You are responsible for all content, URLs, redirect rules, media, domain configurations, branding, and other material you submit to or manage through the Service ("Customer Content"). You represent that you have all rights and permissions needed to use Customer Content with the Service.

You remain the owner of Customer Content. You grant GeoQR a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, cache, format, display, and otherwise use Customer Content as necessary to operate, secure, and improve the Service and to comply with law.

You are solely responsible for the legality, accuracy, and safety of the destinations your QR codes point to. GeoQR may run automated or manual checks on configured destinations for security, abuse prevention, or operational reasons, but we do not guarantee that every unsafe or unwanted destination will be detected or blocked.

5. Domains, Links, and Third-Party Services

If you connect a custom domain, you are responsible for maintaining control of that domain, keeping DNS records accurate, and ensuring that your use of the domain does not infringe the rights of others. We may require domain verification before activating or continuing domain services.

The Service may route users to websites, assets, or services operated by third parties. GeoQR does not control and is not responsible for third-party content, policies, uptime, security, or performance.

6. Fees, Billing, Trials, and Taxes

Paid features are offered on a subscription basis unless we state otherwise in writing. By starting a paid plan, you authorize GeoQR and its payment processor to charge the applicable fees, taxes, and other amounts due using your selected payment method.

  • Subscriptions renew automatically for successive billing periods until canceled.
  • You can cancel renewal before the next billing date through the available billing tools or by contacting support when self-service cancellation is unavailable.
  • Trials, discounts, and promotional pricing may be limited by plan, account history, geography, eligibility, or other stated conditions.
  • Trial availability may be determined automatically at checkout, and repeat subscriptions may start as paid subscriptions immediately.
  • Unless stated otherwise, fees are non-refundable except where required by applicable law or expressly stated by GeoQR in writing.
  • If payment fails or a charge is reversed, we may suspend or limit paid features until the account is brought current.
  • Unless stated otherwise at checkout, fees exclude taxes, duties, and similar governmental charges. Where required by law, applicable taxes will be included or presented during checkout.

We may change pricing, plan structures, or included limits from time to time. Material changes to recurring fees will apply no earlier than your next renewal cycle after reasonable advance notice.

7. Consumer Rights

If you are a consumer, you may have mandatory rights under applicable law that cannot be excluded by these Terms. Nothing in these Terms is intended to limit those rights.

Where applicable law gives you a right to withdraw from a distance contract, that right generally lasts 14 days unless an exception applies. To exercise an applicable withdrawal right, contact info@geoqr.io with a clear statement before the deadline expires.

If digital services start during the withdrawal period, your withdrawal right may be affected where you have expressly requested or consented to immediate performance and, where required by law, acknowledged that you may lose the right to withdraw. Where the law requires a partial refund or proportional charge for services already supplied, these Terms will be interpreted accordingly.

If you are a consumer, you may also have non-waivable statutory rights relating to defects, non-conformity, or non-performance of digital services under applicable law.

8. Availability, Analytics, and Changes

We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Maintenance, network issues, provider outages, abusive traffic, domain propagation, certificate issuance, or events outside our reasonable control may affect performance.

Analytics, routing, and safety indicators are operational tools, not guaranteed audit records. Country-level analytics and similar data may be inferred from network signals and can be incomplete, delayed, or inaccurate.

9. Suspension and Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate access immediately if we reasonably believe:

  • you breached these Terms;
  • your use creates security, legal, or operational risk;
  • payment is overdue or reversed; or
  • continued access could harm GeoQR, other users, or third parties.

We may also discontinue the Service or any feature on reasonable notice. Termination does not relieve you of payment obligations that accrued before termination. We may delete or anonymize Customer Content after termination in accordance with our retention practices and legal obligations.

10. Intellectual Property

The Service, including its software, interface design, trademarks, documentation, and all related intellectual property rights, is owned by GeoQR or its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

If you provide suggestions, ideas, or feedback, GeoQR may use them without restriction or compensation to you.

11. Privacy

Our handling of personal information is described in our Privacy Policy. By using the Service, you acknowledge that GeoQR may process personal information as described there and as necessary to provide, secure, and support the Service.

12. Warranties Disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available." GeoQR disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

GeoQR does not warrant that QR destinations will always resolve correctly, that every malicious link will be detected, that analytics will be complete, or that third-party integrations, DNS changes, or custom domains will remain continuously available.

13. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights.

To the maximum extent permitted by law, GeoQR will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, even if we were advised of the possibility of such damages.

To the maximum extent permitted by law, GeoQR's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amounts you paid to GeoQR for the Service in the 12 months before the event giving rise to the claim; or (b) EUR 100.

14. Business User Indemnity

If you use the Service on behalf of a business or other non-consumer entity, you will defend, indemnify, and hold harmless GeoQR and its affiliates, officers, directors, employees, and contractors from and against claims, liabilities, damages, losses, and reasonable costs (including legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of Denmark, excluding its conflict-of-law rules. If you are acting in the course of business, the courts of Denmark will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

If you are a consumer, you may have the right to bring claims in your country of residence and to rely on mandatory consumer protections that apply there.

16. Complaints

If you have a complaint about the Service, contact info@geoqr.io first and we will try to resolve it directly.

If you are a consumer and we cannot resolve the complaint, you may have the right to use the consumer complaint or dispute-resolution body that applies in your country. Consumers in Denmark may in some cases use the public consumer complaints system operated through the Danish Mediation Team for Consumer Complaints and the Consumer Complaints Board.

17. Notices

You agree that we may provide notices and other communications electronically, including by email, in-product message, or by posting them through the Service or on our website. You are responsible for keeping your contact details current.

18. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce any provision is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent, except where such restriction is not permitted by law. We may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition, or sale of assets relating to the Service.

Sections that by their nature should survive termination, including provisions on payment obligations, intellectual property, disclaimers, limitations of liability, indemnity, disputes, and this Miscellaneous section, will survive termination.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the "Last updated" date above. If a change materially affects your rights or obligations, we may also give additional notice. Continued use of the Service after revised Terms take effect means you accept the updated Terms.
